Terms of Service
These terms govern your use of Memento. They are written to be read, not to be survived — if a clause is unclear, ask and we will explain it.

1. Who you are contracting with
Memento is operated by Klodu, a sole trader (enkeltmandsvirksomhed) registered in Denmark under CVR 28046901, at Jenstrup Huse 26, 4690 Haslev, Denmark. You can reach us at support@mementokeep.com.
Payments are a separate relationship. Subscriptions are sold by Paddle.com Market Ltd, our merchant of record and authorised reseller. When you subscribe, your purchase contract for that transaction is with Paddle, which handles payment, invoicing, VAT and refunds. Paddle’s own buyer terms apply to that transaction alongside these terms. We never receive or store your card details.
2. What the service is
Memento captures things you save — notes, links, files, meeting recordings — and uses an AI agent to file them into a linked, source-backed wiki you can search, question and export. Your pages are stored as ordinary Markdown in a git repository, and you can take a full export with your original files at any time. The documentation describes what it does in detail.
You bring your own AI provider. Memento drives an AI coding agent using credentials you connect yourself — your own Anthropic (Claude), OpenAI (ChatGPT/Codex) or other provider account. When the agent works on your library, the content it reads is sent to that provider under your agreement with them, not ours.We do not control that provider’s availability, pricing or output, and your agreement with them governs it. If your credential expires or is revoked, the agent stops working until you reconnect it.
The service is under active development. Features change, and during the private beta they may change abruptly. We will not remove your ability to export your content without notice.
3. Your account
You need an account to use Memento, you must give accurate details, and you are responsible for what happens under your account — including keeping your password to yourself. Tell us promptly at support@mementokeep.com if you believe someone else has access.
You must be old enough to enter a contract where you live. Memento is not directed at children.
4. Plans, pricing and renewal
- The Free plan includes one knowledge space and a daily allowance of agent runs, with every feature available.
- The Pro plan is billed monthly and raises those limits. It starts with a free trial; you provide a payment method up front and are charged when the trial ends, unless you cancel before then.
Prices are shown on the pricing section. VAT or sales tax is calculated by Paddle according to where you are, so the total you pay may differ from the headline price. The price you see at checkout is the price you pay.
Subscriptions renew automatically each month until cancelled. You can cancel at any time from Settings → Plan & usage; access continues to the end of the period you have already paid for. We will give reasonable notice before any price increase, and you may cancel rather than accept it.
Refunds are covered by our refund policy, which forms part of these terms.
5. Your content stays yours
You keep every right you already have in what you put into Memento. You grant us only the permission we need to run the service for you: to store your content, process it, back it up, and send it to the AI provider you have connected so the agent can do the work you asked for. That permission exists to operate Memento and for nothing else.
We do not use your content to train AI models, and we do not sell it or share it for advertising. What the provider you connect does with it is governed by your agreement with them.
You are responsible for having the right to upload what you upload — including, where it matters, the consent of other people in a meeting you record.
6. Acceptable use
Do not use Memento to:
- break the law, or infringe someone else’s rights;
- store or distribute malware, or attack, probe or overload our infrastructure or anyone else’s;
- circumvent the limits of your plan, resell the service, or run it on behalf of third parties as if it were your own product;
- process other people’s personal data in ways they have not agreed to.
The AI agent runs in an isolated sandbox with restricted network access. Attempting to break out of that sandbox, or to reach systems you are not entitled to reach, ends your access immediately.
7. Availability
We aim to keep Memento running and to fix problems quickly, but we do not promise a specific uptime, and there is no service level agreement. Maintenance, provider outages and beta instability all happen. If we plan a disruptive change we will try to tell you first.
8. Ending the agreement
You may stop using Memento and delete your account whenever you like. Export first — deletion removes your content from our systems, and we cannot undo it once backups have rotated.
We may suspend or close an account that breaches these terms, that is being used to harm others, or where we are required to by law. Unless the breach makes it impossible, we will tell you why and give you a chance to export your content first. If we close your account without cause, we refund the unused part of the period you have paid for.
9. Liability
Memento is provided as it is. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, or lost data where you had the ability to export it and did not. Where we are liable, our total liability is limited to the amount you paid us in the twelve months before the claim.
Nothing here limits liability that cannot be limited — including for death or personal injury caused by negligence, for fraud, or for your statutory rights as a consumer. If you are a consumer in the EU or EEA, your mandatory local consumer protections continue to apply regardless of what these terms say.
The agent writes and edits your pages on your instruction, and AI output can be wrong. Review changes before relying on them; the app is built to show you a diff for exactly that reason.
10. Changes to these terms
We may update these terms. For material changes we will give you reasonable notice by email or in the app before they take effect, and continuing to use Memento afterwards means you accept them. If you do not, cancel — and if you have paid for a period you will not use, tell us and we will refund it.
11. Law and disputes
These terms are governed by Danish law, and disputes go to the Danish courts. If you are a consumer, this does not deprive you of the protection of the mandatory rules of the country you live in, and you may also bring proceedings there.
Before that, please just write to us at support@mementokeep.com. Most things are a misunderstanding and take one email to fix. Consumers in Denmark may also complain to the Danish Competition and Consumer Authority’s Center for Klageløsning.
Memento
